Website Terms of Use and Service Terms
Version 1.0 • Effective 27 August 2026
For vendrasphere.com, app.vendrasphere.com and authorised VendraSphere services.
1. About these Terms
These Terms govern access to and use of the VendraSphere website, platform, dashboards, tenant website tools, limited-availability services and related support (collectively, the “Services”). The Services are operated under the public brand “VendraSphere” (“VendraSphere”, “we”, “us” or “our”); formal legal-entity details will be published once confirmed. By accessing the Services, creating an account, submitting a request, accepting an order or paying a fee, you agree to these Terms and any order form, service acceptance or service description incorporated into them. If you act for an organisation, you confirm that you have authority to bind it.
2. Eligibility and accounts
You must be legally capable of entering a binding contract and provide accurate, current information. Account credentials are personal to authorised users. You are responsible for reasonable credential security and promptly reporting suspected misuse. Tenant administrators are responsible for authorised users, permissions and lawful use within their workspace. We may require identity, business or domain verification before provisioning or publishing a tenant service.
3. Service scope and availability
VendraSphere provides a multi-tenant software platform and related configuration support for business websites and evolving business-management capabilities. Features labelled limited, preview, beta, planned or coming soon are not guaranteed production capabilities. Availability may vary by plan, tenant, integration, device or region. While capabilities have limited availability, access may be limited, manually provisioned, monitored and modified to protect security, stability and product quality. Participation in limited-availability capabilities does not guarantee future availability, pricing, feature parity or general release.
4. Customer content and responsibilities
You retain ownership of content and business data you lawfully provide. You grant VendraSphere a limited, non-exclusive licence to host, process, reproduce, format and display that content only as needed to provide, secure and improve the Services and fulfil your instructions. You must have all rights, permissions and notices required for submitted content and personal data. You are responsible for the accuracy of business descriptions, prices, availability, claims, licences and regulatory disclosures. You must not upload malware, secrets, unlawful content, infringing material, deceptive claims or data collected without a lawful basis. Regulated businesses remain responsible for sector-specific licences, professional standards and disclosures. VendraSphere does not provide regulatory approval.
5. Acceptable use
You must not attempt to breach security, bypass tenant isolation or permissions, probe systems without written authorisation, scrape at abusive rates, interfere with service availability, impersonate others, distribute spam, facilitate unlawful activity, or use the Services to violate privacy, intellectual-property, consumer-protection or other applicable laws.
6. Fees, taxes and payment
Fees are those shown in an accepted order, service confirmation or invoice. The current onboarding engagement carries a one-time system setup and configuration fee of ₹5,000, inclusive of applicable taxes, if any. No recurring subscription fee is created unless separately disclosed and expressly accepted. Payment processing may be provided by a third party under its own terms.
7. Refunds and configuration commencement
The one-time system setup and configuration fee is refundable before configuration work begins. Once configuration begins, it is non-refundable because resources and customised work have been committed. Before work begins, VendraSphere will record the customer’s acceptance and the commencement status. This clause does not exclude any refund, remedy or consumer right that cannot lawfully be excluded.
8. Suspension and termination
We may suspend or restrict access where reasonably necessary for security, suspected fraud, unlawful use, non-payment, material breach, platform integrity or legal compliance. Where practicable, we will provide notice and an opportunity to cure. Either party may end a limited-availability engagement as stated in the applicable service confirmation. Data export or deletion will follow the Privacy Policy, DPA and any agreed exit process.
9. Third-party services and integrations
Third-party domains, cloud services, payment providers, analytics, messaging, Google/Meta services and other integrations are governed by their own terms and availability. VendraSphere is not responsible for independent third-party acts, outages or policy changes, but will use reasonable care in selecting and integrating providers.
10. Intellectual property
VendraSphere and its licensors retain rights in the platform, software, designs, documentation, trademarks and improvements, excluding customer content. No source-code, resale, reverse-engineering or competing-service right is granted except where mandatory law permits it.
11. Security and availability
We use reasonable technical and organisational measures designed to protect the Services. No online service is completely secure or uninterrupted. Planned maintenance, emergencies, internet failures and third-party outages may affect availability. Customers must maintain appropriate copies of critical business content and promptly notify us of security concerns.
12. Disclaimers and liability
To the extent permitted by law, the Services are provided on an “as available” basis without guarantees of uninterrupted operation, specific commercial results, search ranking, lead volume or third-party approval. Nothing excludes liability that cannot legally be excluded, including liability for fraud, wilful misconduct or mandatory consumer rights.
13. Changes, notices and contact
We may update these Terms prospectively. Material changes will be communicated through the website, account or registered contact method. Continued use after the effective date may constitute acceptance where lawful; fresh consent will be requested when required. Questions and grievances may be sent to contact@vendrasphere.com.
14. Governing law and disputes
These Terms are governed by the laws of India. Subject to mandatory consumer forums and other non-waivable rights, courts of competent jurisdiction in Gautam Buddh Nagar, Uttar Pradesh will have jurisdiction. The parties should first attempt good-faith resolution through written notice.
